1. Agreement

These Terms of Service ("Terms") govern your access to and use of ReplyArk ("ReplyArk", "Service", "we", "us"). Full provider details are available in our Impressum. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

ReplyArk is an AI-powered assistant that connects to your email and messaging accounts to summarise incoming messages, extract structured information, and draft replies for your review. You remain solely responsible for reviewing, editing, and approving any draft before sending.

3. Accounts

You must be at least 18 years old and authorised to bind the business you represent. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorised use.

4. Your content

You retain ownership of all content you upload or that we access with your consent (including emails, WhatsApp messages, contact data, and business knowledge). You grant us a limited, non-exclusive licence to process that content solely to provide the Service as described in our Privacy Policy. We do not use your content to train AI models.

5. Acceptable use

You agree not to:

Use the Service to send unsolicited bulk messages (spam) or to violate any anti-spam law (CAN-SPAM, CASL, GDPR ePrivacy, etc).
Impersonate any person or misrepresent your affiliation.
Upload content that is unlawful, infringing, harassing, or harmful.
Reverse-engineer, scrape, or attempt to extract source code or proprietary models.
Interfere with the Service, attempt to bypass rate limits, or probe for vulnerabilities without authorisation.
Use the Service in violation of the terms of any third-party platform you connect (Google, Meta, etc).

6. AI-generated content

Draft replies are produced by AI and may contain errors, hallucinations, or inaccuracies. You are solely responsible for reviewing and correcting any draft before sending it to a recipient. ReplyArk makes no warranty that draft content is accurate, complete, or suitable for your purpose.

7. Plans and payment

Paid plans are billed monthly or annually in advance. Fees are non-refundable except where required by law. We may change pricing with 30 days' notice before the start of your next billing cycle. Usage beyond your plan limits may be subject to overage fees or service throttling as described in your plan.

8. Third-party services

The Service integrates with third-party platforms (Google, Meta/WhatsApp, Supabase, AI providers). Your use of those platforms is governed by their own terms. We are not responsible for their acts or omissions. If a third party suspends or terminates your access, the relevant part of the Service may become unavailable.

9. Termination

You may cancel your account at any time from your account settings or by emailing hello@replyark.com. We may suspend or terminate your account for material breach of these Terms, including non-payment, with notice where practical. On termination your data will be retained and deleted per our Privacy Policy.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLYARK'S AGGREGATE LIABILITY UNDER OR RELATED TO THESE TERMS IS LIMITED TO THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL.

12. Indemnity

You agree to indemnify and hold ReplyArk harmless from any claim arising out of (a) your content, (b) your violation of these Terms, or (c) your violation of any law or third-party right, including a third-party platform's terms.

13. Governing law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law principles. Any dispute will be resolved in the courts of that jurisdiction, except where mandatory consumer-protection law provides otherwise.

14. Changes

We may update these Terms from time to time. Material changes will be notified by email to account holders at least 14 days before taking effect. Continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms.
